THIRD ADDENDUM AND SETTLEMENT AGREEMENT OF 14 OCTOBER 2021 EFFECTIVE


Rome, 30 March 2022 – Autostrade per l’Italia announces that the Company has been notified by the Grantor that the interministerial MIMS-MEF Ministry of Sustainable Infrastructure and Mobility (the “MIMS”) – Ministry of the Economy and Financial (the “MEF”). decree approving the settlement agreement of 14 October 2021, and the interministerial MIMS- MEF decree approving the third Addendum to the Company’s Concession, have been registered with the Court of Auditors. 
 
 
 
Effectiveness of the new Addendum, to which the Financial Plan for the period 2020-2024 is attached, having been drawn up in accordance with the new criteria set by the Transport Regulator, and which also includes the €3.4bn contained in the settlement agreement, provides the regulatory and legislative certainty that will enable Autostrade per l’Italia to allocate over €20bn for investment and maintenance of the network through to 2038.  
 
In addition, Atlantia and the acquiring Consortium formed by CDP Equity, The Blackstone Infrastructure Partners e Macquarie Asset Management have today confirmed that all the conditions precedent set out in the Share Purchase Agreement (the “SPA”) governing Atlantia’s sale of its stake in Autostrade per l’Italia have been fulfilled. As a result, the change of control of Autostrade per l’Italia will be effective – as provided for in the SPA – within 30 working days from 30 March 2022.
